These Terms of Service are effective as of the date the Client electronically accepts them.

Description of Services

Beginning on the date of review, Above the Fold will provide to the Client the services described in (collectively, the "Services"), as amended from time to time. Above the Fold will perform services at Above the Fold facilities at various times and for various durations as directed by the Client.

Invoices and Payment

The Client is responsible for payment of all services performed on the Client's behalf by Above the Fold. Payment shall be made to Above the Fold electronically: via credit card, e-transfer or direct deposit (when available). The Client agrees to pay the sum owing within 5 days of the execution of this agreement, and the remainder according to the payment terms.

The Client will also reimburse any expenses incurred by Above the Fold on behalf of the Client, however, such expenses shall be approved in writing by the Client prior to the time they are incurred.

Additional charges will be clearly stated and billed. If the bill is not paid before the due date, a late fee in the amount of $25.00 will be applied to the Client's account.

The Client agrees to pay all costs of collection, including reasonable legal fees. In addition to any other right or remedy provided by law, if the Client fails to pay for the Services when due. Above the Fold has the option to treat such failure to pay as a material breach of the terms of the agreement, and may cancel this agreement and/or seek legal remedies.

Pricing

1. Is valid for 30 days from the proposal.

Prepaid Services

1. The setup fee and first month's service must be paid in full prior to service commencement.
2. Setup fees cover connecting to social media accounts, setting up preliminary campaigns, initial designing and writing as well as connecting to Google services. Setup includes a single (1) round/version of setup and connections to accounts; additional changes, accounts, connections or campaign setups will be charged at $125/hr + GST.
3. Services commence no later than ten (10) business days after invoice payment.
4. Services continue up to ten (10) business days after the renewal invoice.
5. Payment not received on time will result in a service disruption.
6. Service provision will not be extended for overdue payments.
7. Prepaid services that are not initiated within 90 days are subject to a restart fee equal to the current setup fee and Above the Fold availability.

Post-paid Services

1. Invoices are due upon receipt.
2. Delay of payment may result in the service disconnection, disruption or removal of service.
3. Clients may request updates to their website at any time. These requests should be submitted in writing and include a detailed description of the changes. We strive to complete all updates as quickly as possible; however, the timeframe for completion will depend on the complexity and scope of the requested changes. We prioritize delivering quality work and will keep clients informed throughout the process. Payment for website updates is due immediately upon the completion of the work.

Recurring Fees

1. Monthly website care & maintenance change requests will be completed within 3-5 business days. If this timeframe cannot be met due to work volume, holidays, or staff availability, the Client will be advised.
2. If the Client wishes to terminate monthly recurring services, a 30-day notice is required.
3. Annual invoices automatically renew and are due 30 days prior to expiry. i.e., Due Jan 15 for Feb 15 expiry.

Website Design / Website in a Week

1. Website design pricing includes 3 rounds of revisions.
2. Additional fees will be applied for one-page websites with more than eight (8) sections.
3. Applicable changes will be charged at $125/hr + GST.
4. Final project payment is due prior to the site "go live."
5. Website design pricing includes a 30-day error free warranty. Any errors noted within 30-days will be corrected at no additional cost. Changes, revisions or additions are not included in the warranty and will be completed at the hourly rate.

The "Website in a Week" service provides a complete, custom website within a one-week timeline. The following terms apply specifically to this service and override any conflicting terms elsewhere in this agreement:

1. A non-refundable deposit of 25% of the total fee is due upon booking to reserve the scheduled build week.
2. The remaining balance (75%) is due on the first day of the scheduled build week. Failure to provide payment on time will delay the project and may result in forfeiture of the scheduled time slot.
3. Clients may reschedule their build week once, with a minimum of 7 calendar days' notice. The original deposit will be transferred to the new time slot.
4. Rescheduling with fewer than 7 days' notice will result in the loss of the deposit. A new deposit will be required to rebook.
5. Additional rescheduling beyond the one-time allowance is not permitted.
6. If the project is cancelled after booking, the 25% deposit is non-refundable. If cancelled after the build week has begun, the Client is responsible for payment of all work completed up to the cancellation date.

The Client agrees to the following:

At least 3 business days prior to the scheduled build week, the Client must provide:

1. All relevant content, assets, and project files
2. Required account access and logins (e.g., website host, domain registrar, social platforms)
3. A completed website questionnaire or brief (if required/provided by Above the Fold)

The Client agrees to provide feedback via the assigned markup tool each business day during the scheduled build week.

1. If no feedback is received on a given day, the project will proceed based on Above the Fold's professional judgment.
2. Missed feedback opportunities are forfeited and will not be revisited.

The Client agrees to be readily available by phone or email during business hours throughout the scheduled week. A lack of communication may impact the scope or quality of the final deliverable.

A detailed project schedule will be provided to the Client prior to the start of the build week. This schedule will include:

1. Work milestones
2. Feedback deadlines
3. Cut-off points for elements such as section layout or structural revisions

Account Sharing

1. The client will always remain the primary holder of all accounts shared with Above the Fold.
2. Clients agree to share their accounts with Above the Fold for the express purposes agreed upon.
3. Social media, Google or other accounts must be accessible as "business" accounts. i.e., not personal accounts being used for business
4. Prior to sharing accounts with Above the Fold, any connections required to complete the services, must be in place. i.e., Linked Accounts in Meta
5. Clients are responsible for passwords and two factor authentication. Clients will be asked to share passwords via a password manager.
6. Above the Fold shall not be liable for account lockouts, deletions, or changes made by the Client or third parties.

Data & Privacy

Above the Fold agrees to handle all client-provided data, access credentials, and content with professional care. Sensitive information such as passwords will be stored securely using password managers. Above the Fold will not share, sell, or misuse any client data.

Project Term and Timeframes

1. A schedule will be identified at the beginning of the project.
2. If delays are encountered on the Client's part, Above the Fold will reschedule the project as quickly as possible and new timeframes will be provided to the Client.
3. Client delays beyond the agreed timeframes or that exceed 90 days from initiation, will result in the final invoice being issued.
4. Work products will be retained for an additional 90 days when final invoice has been issued before being archived. Work products will be returned to the Client when all invoices are paid in full.
5. Projects for restart are subject to a restart fee of $500 and Above the Fold availability.

This agreement will terminate automatically upon completion of the Services as described.

Termination for Convenience

Either party may terminate this agreement at any time and for any reason on 30 days of prior written notice to the other party. If the Client terminates the Agreement under this section, Above the Fold shall complete any work assigned or scheduled during the notice period in accordance with the Terms of Service.

Confidentiality

Above the Fold, and its employees, agents, or representatives will not use for the personal benefit of Above the Fold, or divulge, disclose, or communicate any information that is proprietary to the Client. Above the Fold and its employees, agents, and representatives will protect such information and treat it as strictly confidential. This provision will continue to be effective after the termination of this agreement. Any oral or written waiver by the Client of these confidentiality obligations which allows Above the Fold to disclose the Client's confidential information to a third party will be limited to a single occurrence tied to the specific information disclosed to the specific third party, and the confidentiality clause will continue to be in effect for all other occurrences. Upon termination of this agreement, Above the Fold will return to the Client all records, notes, documentation and other items that were used, created, or controlled by Above the Fold during the term of this agreement. Any digital files, accounts, or assets not retrieved within 90 days of project closure may be deleted or archived without further notice.

Independent Contractor

Above the Fold acknowledges that the services rendered under this agreement shall be solely as an independent contractor. Above the Fold shall not enter into any contract or commitment on behalf of Client. Above the Fold further acknowledges that it is not considered an affiliate or subsidiary of Client, and is not entitled to any Client employment rights or benefits. It is expressly understood that this undertaking is not a joint venture.

Copyright

Upon full payment, the Client will own the final deliverables created by Above the Fold for the Client's exclusive use, including all associated copyrights. This does not include ownership of tools, software, or third-party licenses used in the creation of the work.

Default

The occurrence of any of the following shall constitute a material default under this agreement:

• The failure to make a required payment when due.
• The insolvency or bankruptcy of either party.
• The subjection of any of either party's property to any levy, seizure, general assignment for the benefit of creditors, application or sale for or by any creditor or government agency.
• The failure to make available or deliver the Services in the time and manner provided for in this agreement.

Remedies

In addition to any and all other rights a party may have available according to law, if a party defaults by failing to substantially perform any provision, term, or condition of this agreement (including without limitation the failure to make a monetary payment when due), the other party may terminate the agreement by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have 10 days from the effective date of such notice to cure the default(s). Unless waived in writing by a party providing notice, the failure to cure the defaults(s) within such time period shall result in the automatic termination of this agreement.

Force Majeure

If the performance of this agreement or any obligation under the terms is prevented, restricted, or interfered with by causes beyond either party's reasonable control ("Force Majeure"), and if the party unable to carry out its obligations gives the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event. The term Force Majeure shall include, without limitation, acts of God, fire, explosion, vandalism, storm, or other similar occurrence, orders or acts of military or civil authority, or by national emergencies, insurrections, riots, or wars, or strikes, lockouts, work stoppages, or other labour disputes, or supplier and service provider failures. The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a party if committed, omitted, or caused by such party, or its employees, officers, agents, or affiliates.

Dispute Resolution

If a dispute arises out of, or in connection with this agreement, the parties agree to meet to pursue resolution through negotiation or other appropriate dispute resolution process before resorting to litigation. All information exchanged during this meeting or any subsequent dispute resolution process, shall be regarded as "without prejudice" communications for the purpose of settlement negotiations and shall be treated as confidential by the parties and their representatives unless otherwise required by law. However, evidence that is independently admissible or discoverable shall not be rendered inadmissible or non-discoverable by virtue of its use during the dispute resolution process.

Limitation of Liability

Above the Fold shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits or data, arising out of or in connection with the services provided, even if advised of the possibility of such damages.

Assignment

Neither party shall assign this Agreement unless consented to in writing by both parties.

Entire Agreement

This Agreement constitutes the entire Agreement and understanding between the parties and supersedes all prior agreements and understandings with respect to the Agreement whether written or oral. No modification or claimed waiver of any of the provisions hereof shall be valid unless in writing and signed by authorized representatives of the party against whom such modification or waiver is sought to be enforced.

Waiver

No waiver, by either party, whether express or implied, of any provision of this Agreement, or of any breach or default of either party, shall constitute a continuing waiver of such provisions or a waiver of any other provisions of this Agreement.

Disclaimer of Warranties

Above the Fold makes no warranties or guarantees, express or implied, regarding the success or performance of marketing services, including but not limited to search engine rankings, engagement, or conversion rates.

Amendment

This agreement may be modified or amended in writing by mutual agreement between the parties, if the writing is signed by the party obligated under the amendment.

Governing Law

This Agreement will be governed by and shall be construed in accordance with the laws of the Province of Saskatchewan, Canada.

The 'Guest' does hereby irrevocably consent to the recording and distribution of reproduction(s) of the Guest's voice and video performance as part of the media program entitled Secret Life or Secret Life of Local (herein referred to as the "Program").

Guest does hereby acknowledge that Barb McGrath ("Podcaster") is the sole owner of all rights in and to the Program, and the recording(s) thereof; and that the Podcaster has the unfettered right, among other things, to use, exploit and distribute the Program, and Guest's performance as embodied therein in any and all media or formats, throughout the world, in perpetuity. Any materials relating to the production and distribution of the Program ("Materials") become property of Podcaster, and the Podcaster shall have the sole and exclusive right to use, exploit and distribute such Materials, throughout the world, in perpetuity.

Nothing contained in the Guest Terms shall be construed to obligate Podcaster to use or exploit any of the rights granted or acquired by Podcaster, or to make, sell, license, distribute or otherwise exploit the Program or Materials whatsoever.

Guest understands and agrees that they shall receive no compensation for appearances on and participation in the Program.

Guest's name and likeness may be used in advertising and promotional material for the Program, but not as an endorsement of any product or service.

Guest hereby releases and discharges Podcaster from any and all liability arising out of or in connection with the making, producing, reproducing, processing, exhibiting, distributing, publishing, transmitting by any means or otherwise using the above-mentioned production.
